Licenses and Restrictions

  • Platform License. Subject to the terms and conditions of this Agreement, Tech EDU Solutions LLC grants the Company a limited, non-exclusive, non-transferable, worldwide license to access and use the Platform during the subscription term, solely for the Company’s internal business purposes related to software testing. This license is royalty-bearing and does not include sublicensing rights. Any mobile applications used by the Company to access the Platform are subject to the End User License Agreement accompanying the mobile application. The Company acknowledges that the Platform aggregates third-party testing services for resale and that testers are third-party contractors, with no testing services provided directly by Tech EDU Solutions LLC. These contractors may operate from any location worldwide.
  • Data License. The Company grants Tech EDU Solutions LLC a perpetual, irrevocable, royalty-free license to use, display, reproduce, and distribute the Content on the Site solely for archival purposes, to fulfill Tech EDU Solutions LLC’s obligations under this Agreement, and to improve the Site and Services internally, provided that the identity of the Company is not disclosed.

Platform License. Subject to the terms and conditions of this Agreement, TechEDU Solutions OÜ grants the Company a limited, non-exclusive, non-transferable, worldwide license to access and use the Platform during the subscription term, solely for the Company’s internal business purposes related to software testing. This license is royalty-bearing and does not include sublicensing rights. Any mobile applications used by the Company to access the Platform are subject to the End User License Agreement accompanying the mobile application. The Company acknowledges that the Platform aggregates third-party testing services for resale and that testers are third-party contractors, with no testing services provided directly by TechEDU Solutions OÜ. These contractors may operate from any location worldwide.

Data License. The Company grants TechEDU Solutions OÜ a perpetual, irrevocable, royalty-free license to use, display, reproduce, and distribute the Content on the Site solely for archival purposes, to fulfill TechEDU Solutions OÜ’s obligations under this Agreement, and to improve the Site and Services internally, provided that the identity of the Company is not disclosed.

Restrictions and Company Obligations. The Company must not use the Platform in any manner that could damage, disable, overburden, or impair servers, networks, or other connected devices. Unless explicitly allowed by this Agreement or applicable law, the Company will not, and will not permit third parties to:
(a) reproduce, modify, translate, enhance, decompile, disassemble, reverse engineer, or create derivative works of the Platform;
(b) rent, lease, or sublicense the Platform;
(c) use the Platform on a service bureau or Platform service provider basis;
(d) disclose or make available the Platform to third parties; or
(e) circumvent or disable any technological protections in the Platform.

The Company may not publish any benchmark or comparison information about the Platform or Services without TechEDU Solutions OÜ’s prior written consent. The Company must not remove any copyright notices or other proprietary rights notices on the Platform and must comply with all applicable laws in connection with its use of the Platform.

Reservation of Rights

Platform Ownership and Intellectual Property. The Platform is licensed, not sold, and nothing in this Agreement should be interpreted as a sale of the Platform. The Company has no rights to the Platform except as expressly granted in this Agreement, and TechEDU Solutions OÜ retains all Intellectual Property Rights to the Platform and Services. The Platform, including all copies, derivative works, compilations, and related know-how, is the exclusive property of TechEDU Solutions OÜ and contains confidential and proprietary information. The Company must take appropriate measures to protect the Platform and promptly notify TechEDU Solutions OÜ in writing of any unauthorized use or knowledge of the Platform.

Company Obligations

Company Responsibilities. The Company acknowledges that certain services provided by TechEDU Solutions OÜ depend on the Company providing specific data, information, or assistance. Before requesting testing services, the Company must provide TechEDU Solutions OÜ with:
(i) the application or website to be tested, including relevant devices, operating systems, or browsers;
(ii) a description of the test’s purpose and specific requirements;
(iii) a list of known software bugs, errors, or deficiencies;
(iv) any required interfaces or bug trackers; and
(v) any other necessary information requested by TechEDU Solutions OÜ.

If the Company does not reject or dispute a reported software bug, error, or deficiency within ten (10) days of notification, the issue will be considered accepted.

Production Testing

Testing in Production Environments. The Company acknowledges that testing within a Production environment or in a manner that interacts with Production services can disrupt normal business operations. TechEDU Solutions OÜ assumes no liability for any damages, costs, or expenses resulting from testing in a Production environment. The Company accepts sole responsibility for any consequences arising from direct or indirect testing in such environments. TechEDU Solutions OÜ may impose additional or different terms for such testing.

Services and Technical Support

Provision of Services. From the Effective Date, TechEDU Solutions OÜ will provide the Platform and any Services specified in the Order that the Company has purchased. Unless managed services have been explicitly purchased, Services do not include the setup or configuration of the Site or tests, which are the Company’s responsibility. Additional Services may be purchased upon mutual written agreement at the current pricing.

Feedback

Feedback and Intellectual Property. During the term, the Company may provide TechEDU Solutions OÜ with verbal or written feedback regarding its use of the Platform or Services, including error reports. Any feedback, ideas, concepts, or know-how provided by the Company concerning the Platform, Services, or any other TechEDU Solutions OÜ products, as well as any information reported automatically through the Platform, will become the property of TechEDU Solutions OÜ. The Company agrees to assign all rights, title, and interest in the feedback and related intellectual property rights to TechEDU Solutions OÜ and will assist in perfecting and enforcing these rights.

Payments

Fees. The Company agrees to pay the fees specified in any Order. Unless stated otherwise, all undisputed fees are due within fourteen (14) days of the invoice date. All Orders are non-cancelable and non-refundable unless expressly stated in this Agreement. Monthly service quotas must be claimed within the respective period, and unused quotas expire and cannot be carried forward. All payments must be made in euros. Late payments incur interest at 18% per annum, compounded monthly, or the maximum rate permitted by law. TechEDU Solutions OÜ reserves the right to suspend Services or access to the Platform if any undisputed fees are overdue by more than ten (10) days.

Disputed Invoices. If the Company disputes any fees in good faith, it must notify TechEDU Solutions OÜ in writing within thirty (30) days of receiving the invoice. The parties will work to resolve the dispute within fifteen (15) days. If unresolved after sixty (60) days, either party may declare the other in breach and pursue legal remedies.

Taxes

Taxes. Fees are exclusive of taxes, and the Company is responsible for paying any sales, use, value-added, or similar taxes arising from the Services or Platform, excluding taxes based on TechEDU Solutions OÜ’s net income.

Confidentiality

  • Generally. “Confidential Information” refers to non-public proprietary information disclosed under this Agreement, including software code, product specifications, financial data, and business plans.
  • Obligations of Confidentiality. Each party agrees to keep the other party’s Confidential Information secure and not disclose it to third parties. Confidential Information may only be accessed by employees, contractors, or advisors with a need to know and who are bound by confidentiality obligations.
  • Exclusions. Confidentiality obligations do not apply to information that (i) is publicly available, (ii) was known before disclosure, or (iii) was independently developed without using the other party’s Confidential Information.
  • Legally Required Disclosure. If required to disclose Confidential Information by law, the disclosing party will notify the other party and seek to limit disclosure through protective orders or similar means.
  • Injunctive Relief. Unauthorized use of Confidential Information may cause irreparable harm, justifying injunctive relief in addition to other legal remedies.
  • Return of Confidential Information. Upon request, each party must return or destroy the other party’s Confidential Information, except for legally required or securely archived materials.

Warranties and Disclaimers

Warranty of Conformity. TechEDU Solutions OÜ warrants that the Platform and Services will be available 99.9% of the time, subject to scheduled maintenance. Non-conforming Services will be corrected, replaced, or re-performed, or the Company may terminate the Agreement for a refund of prepaid fees. This is the Company’s sole remedy for breach of warranty.

Warranty by the Company. The Company warrants that it has the necessary rights to provide the Content and authorize TechEDU Solutions OÜ to use it as specified in these Terms.

Disclaimer of Warranties. Except as expressly stated, TechEDU Solutions OÜ disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. The Platform and Services are provided “as is” without warranties of uninterrupted or error-free operation.

This version has been updated to reflect the company name “TechEDU Solutions OÜ” and align with Estonian jurisdiction.

Terms and Termination

Terms and Renewal. This Agreement begins on the Effective Date and continues for the subscription period specified in the Order, renewing automatically unless either party provides 30 days’ notice.

Termination. Either party may terminate this Agreement for a material breach, bankruptcy, or insolvency of the other party. The Agreement may also be terminated immediately for breaches of confidentiality.

Effect of Termination. Upon termination, the Company’s right to use the Services ends, and both parties must return or destroy Confidential Information within 30 days. The Company may request a download of its Content within 10 days of termination. Unpaid amounts remain due, and no refunds will be issued except for termination due to TechEDU Solutions OÜ’s breach.

Limitations of Liability

  • Exclusion of Consequential Damages. Neither party will be liable for indirect, incidental, or consequential damages, except for breaches of confidentiality or license restrictions.
  • Limitation of Damages. Neither party’s liability for any claims will exceed the fees paid by the Company in the 12 months preceding the liability.
  • Allocation of Risk. The limitations of liability reflect the risk allocation in this Agreement and apply even if a limited remedy fails.

Indemnity

Intellectual Property Indemnity. TechEDU Solutions OÜ will defend and indemnify the Company against third-party claims of intellectual property infringement related to the Platform, except for claims arising from software not developed by TechEDU Solutions OÜ, modifications by the Company, or combinations with other products.

Procedure. The indemnified party must notify the indemnifying party promptly and assist in the defense. The indemnifying party may control the defense and settlement of claims, with the indemnified party’s consent required for settlements involving non-monetary obligations.

Export Control

The Company warrants compliance with Estonian export control laws and regulations related to the Content and technical data.

General

Governing Law; Attorneys’ Fees. This Agreement is governed by Estonian law. The prevailing party in any dispute is entitled to recover attorneys’ fees.

Force Majeure. A party is excused from performance due to unforeseen events beyond its control, such as natural disasters or government actions.

Public Announcements. Public statements about this Agreement require prior written consent, though TechEDU Solutions OÜ may list the Company as a customer.

Contract Interpretation. Both parties are considered the drafting party, and contract interpretations will not favor either side.

Notices. Notices must be given in writing and are effective when delivered, faxed, emailed, sent by courier, or mailed.

Assignment. The Company may not assign this Agreement without prior consent. TechEDU Solutions OÜ may assign the Agreement to an affiliate or in connection with a merger or acquisition.

Waivers. Waivers must be specific to the instance, and the exercise of any right does not preclude other rights or remedies.

Entire Agreement. This Agreement, including exhibits, constitutes the entire agreement between the parties, superseding all prior negotiations. Any modifications must be in writing and agreed upon by both parties.
